MSME (Udyam) Registration & Compliance Services

Get Recognised as an MSME. Build Your Business With Greater Opportunities.

Micro, Small and Medium Enterprises (MSMEs) play an important role in India's business and economic ecosystem. Udyam Registration provides eligible enterprises with a formal MSME registration through the Government of India's Udyam Registration system.

At Investax India, we help entrepreneurs, startups, manufacturers, traders and service businesses understand their MSME eligibility and complete the Udyam Registration process with appropriate information and documentation.

What is MSME (Udyam) Registration?

Udyam Registration is the Government of India's online registration system for Micro, Small and Medium Enterprises. An eligible enterprise receives a permanent Udyam Registration Number and an online Udyam Registration Certificate after successful registration.

The registration process is online, paperless and based on self-declaration. The official Udyam portal states that there is no government fee for filing Udyam Registration and that there is no requirement to upload documents or proof during the registration process.

Who is an MSME?

An enterprise is classified as a Micro, Small or Medium Enterprise based on a composite criterion involving investment in plant and machinery or equipment and annual turnover.

The revised classification applicable from 1 April 2025 is:

Enterprise Category Investment in Plant & Machinery / Equipment Annual Turnover
Micro Enterprise Not more than ₹2.5 crore Not more than ₹10 crore
Small Enterprise Not more than ₹25 crore Not more than ₹100 crore
Medium Enterprise Not more than ₹125 crore Not more than ₹500 crore

Both investment and turnover criteria are considered for classification. The revised limits were introduced with effect from 1 April 2025.

MSME Classification Explained

Micro Enterprise

A Micro Enterprise is one where investment in plant and machinery or equipment does not exceed ₹2.5 crore and annual turnover does not exceed ₹10 crore, subject to the applicable rules.

Small Enterprise

A Small Enterprise is one where investment in plant and machinery or equipment does not exceed ₹25 crore and annual turnover does not exceed ₹100 crore, subject to the applicable rules.

Medium Enterprise

A Medium Enterprise is one where investment in plant and machinery or equipment does not exceed ₹125 crore and annual turnover does not exceed ₹500 crore, subject to the applicable rules.

The classification is based on a composite investment and turnover criterion. The applicable rules also provide for aggregation of relevant units associated with the same PAN for classification purposes.

The appropriate registration details and requirements depend on the legal constitution and circumstances of the enterprise.

Documents & Information Required

Udyam Registration does not generally require applicants to upload documents or proof during the registration process. However, accurate business information and identification details are required.

Depending on the constitution of the enterprise, information may include:

  • GSTIN, where applicable
  • Name and details of the enterprise
  • Type of organisation
  • Business address
  • Bank account details
  • Details of business activities
  • NIC activity codes
  • Investment and turnover-related information
  • Details of units or plant locations, where applicable

The official portal states that PAN and GST-linked investment and turnover information may be obtained from government databases.

Benefits of Udyam Registration

Udyam Registration can provide eligible MSMEs with formal recognition and may help them access various government initiatives and facilities, subject to the eligibility conditions of the particular scheme or benefit.

Access to Government Schemes

Registered MSMEs may be able to participate in government schemes and programmes designed for eligible enterprises, subject to the conditions applicable to each scheme.

Credit & Financial Support

Udyam registration can support an enterprise's identification as an MSME when approaching banks and other institutions for facilities or schemes that are specifically available to eligible MSMEs. Actual financing remains subject to the lender's eligibility and credit assessment.

Priority Sector Lending

Eligible MSMEs may benefit from their recognised MSME status when accessing applicable priority-sector lending frameworks and related facilities.

Government Procurement Opportunities

MSME recognition can be relevant when participating in applicable government procurement programmes and schemes. Specific tender eligibility and benefits depend on the relevant procurement rules.

Delayed Payment Protection

Eligible micro and small enterprises can have important statutory protections relating to delayed payments from buyers under the MSMED framework, subject to the applicable conditions.

Business Recognition

Udyam Registration provides a permanent registration number and online certificate, giving the enterprise formal recognition within the MSME registration framework.

Access to MSME-Focused Schemes

Government departments and institutions operate various programmes for MSMEs. Udyam registration may be required or useful for accessing particular schemes, subject to their individual eligibility conditions.

Udyam Registration and Government Schemes

MSMEs may be eligible for different government programmes relating to finance, credit, technology, entrepreneurship, market access, procurement, skill development and other areas.

However, Udyam Registration does not automatically guarantee every MSME benefit or subsidy. Each scheme has its own eligibility criteria, application process and conditions.

Businesses should therefore check the specific requirements of the scheme or programme they intend to use.

MSME & Delayed Payment Protection

Delayed payment can create significant working-capital pressure for small businesses. The MSMED framework contains provisions relating to payments due to eligible micro and small enterprises.

Businesses supplying goods or services to buyers should maintain proper invoices, purchase orders, delivery records and payment documentation so that their commercial transactions can be appropriately supported.

Udyam Registration for Startups

Startups and newly established businesses may consider Udyam Registration when they meet the applicable MSME classification requirements.

Formal MSME recognition can be relevant when exploring eligible government programmes, institutional finance, procurement opportunities and other business-support initiatives.

Udyam Registration for Manufacturers

Manufacturing businesses can use Udyam Registration to obtain formal MSME recognition where they satisfy the applicable classification criteria.

Manufacturers should maintain accurate records relating to their plant and machinery or equipment investment, turnover and business activities for appropriate classification and compliance.

Udyam Registration for Service Businesses

Udyam classification is not restricted to manufacturing enterprises. Eligible service businesses can also fall within the MSME framework based on the applicable investment and turnover criteria.

This can include professional, technology, consulting, trading and other eligible service activities, subject to the applicable classification and registration rules.

Udyam Registration & GST

Udyam Registration and GST registration are separate registrations serving different purposes.

GST registration relates to Goods and Services Tax requirements, while Udyam Registration relates to MSME recognition. A business may need to consider both depending on its activities and applicable laws.

The Udyam system can use PAN and GST-linked information from government databases for classification and verification purposes where applicable.

Is Udyam Registration Free?

Yes. The official Udyam Registration portal states that the registration process is free of cost and that no government fee is payable for filing Udyam Registration.

Businesses should be careful of websites or agents claiming to be the official Udyam portal or charging a government registration fee. The Government specifically identifies the official Udyam Registration portal for MSME registration.

Does Udyam Registration Need Renewal?

The official Udyam portal states that there is no requirement for renewal of Udyam Registration.

However, enterprises should ensure that their information remains accurate and comply with applicable requirements relating to updating or maintaining their registration details.

Udyam Registration Modification & Update

Business information can change over time. Changes in business details, activities, contact information or other relevant particulars may require updating through the applicable Udyam system.

We assist businesses in reviewing their registration information and handling applicable modification or update requirements.

Common MSME & Udyam Registration Mistakes

  • Selecting inappropriate business activity or NIC codes.
  • Providing incorrect investment or turnover information.
